On May 23, 2018, a letter to shareholders on behalf of Mr. Chioini was published outlining an emergency board meeting called by Mr. Chioini for the purpose of discussing a shareholder demand letter alleging breaches of fiduciary duties and other possible violations of securities laws by Rockwell Medical directors. The shareholder demand letter also stated that the directors whose conduct and actions were the subject of alleged breaches of fiduciary duties asserted that they voted to terminate Mr. Chioini. The letter to shareholders added that Mr. Chioini “continues to serve as the CEO consistent with the terms of his employment agreement.” On May 24, 2018, trading in Rockwell Medical shares was halted.
