Accurexa Announces Equity Financing of $2.25 Million

SAN FRANCISCO, CA / ACCESSWIRE / June 17, 2015 / Accurexa Inc. (“Accurexa” or the “Company”), (OTCQB: ACXA), a biotechnology company focused on developing and commercializing novel neurological therapies, today announced that it has entered into definitive agreements with institutional investors, led by a healthcare dedicated fund, for the private placement of 2,250 shares of the Company’s convertible preferred stock for gross proceeds to the Company of $2,250,000.

The convertible preferred stock is convertible into shares of common stock of the Company at a conversion price of $1.25 per share. The convertible preferred stock has no dividend rights. In addition, the Company will issue to the investors warrants to purchase up to 1,800,000 shares of common stock. The warrants have an exercise price of $1.50 per share and are exercisable for 4 years. The offering is expected to close on or about June 22, 2015, subject to satisfaction of customary closing conditions.

H.C. Wainwright & Co. acted as the exclusive placement agent for the transaction.

The securities offered in the private placement have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws. Valmie (VMRI) Moves Forward with Search and Rescue Collaboration, Prepares for Deployment

HOUSTON, TX / ACCESSWIRE / June 17, 2015 / Valmie Resources Inc. (OTCMKTS: VMRI) has begun talks with the drone program director of a prominent search and rescue (SAR) organization regarding hardware expectations in preparation for developing and deploying its V-1 Drone for SAR missions.

The two entities are exploring the features that will allow the V-1 Drone to be advantageous for SAR operations, such as maximum battery life. Camera, searchlight and inclement weather are a drain on a drone’s already limited battery life and shorten its time in the air.

Valmie signed a Memorandum of Understanding (MOU) last month with this organization for the purpose of working with the group to adopt Valmie’s drone technology for humanitarian applications and is now working out the details of the collaboration. To that end, both organizations are preparing their respective exemption requests under Section 333 of the Federal Aviation Administration (FAA) Modernization and Reform Act of 2012, which allows civil operation of unmanned aerial systems (UAS).

Jaime Duran is a Bakersfield man allegedly beaten by deputies of the Kern County Sheriff’s Department, and filed a law suit against them. Criminal charges were never filed against the deputies, but Jaime Duran asked the civil courts to rule their actions unconstitutional. The suit made clear that Duran was “intentionally arrested and beaten without justification” by the deputies, and a victim of police brutality. Officials said Jaime Duran was chased by deputies after a truck near Duran burst into flames. They said Duran resisted arrest and was beaten. The suit alleged the deputies “struck and beat him without provocation.” District Attorney Lisa Green decided not to file charges because they could not get a conviction.

Maryam Parman, Duran’s attorney, made a statement the victory, “In contrast to the DA we felt this would be a slam dunk conviction. I think the people of Bakersfield and the County of Kern deserve a lot better. We saw justice for our client, for whom the beating was a violation of his constitutional rights.”

The suit also alleged the Sheriff’s Department failed to provide adequate training and discipline. In an interview, Duran told 17 News the beating destroyed him, “I feel they ruined my life. I can’t play football. I can’t play soccer. I got a lot of post trauma. I can’t sleep at night. I walk with a cane.”

Despite the settlement, Deputies Nadal and Plaza are still employed with the Kern County Sheriff’s Department.
