Women Business Enterprises Documentary Showcases Successful Women Supporting Diversity

Nexus Gold Upgrades Road Access and Begins Drill Pad Preparation for Phase One Drilling at Walker Ridge

VANCOUVER, BC / ACCESSWIRE / July 16, 2015 / Nexus Gold Corp. (“Nexus” or the “Company”) (TSX-V: NXS) is pleased to announce road access upgrading and drill pad preparation has begun for its upcoming phase one drill program at the Walker Ridge Gold Project in the Independence/Jerritt Canyon Gold Trend, Nevada, USA.

Upgrading of access roads at Walker Ridge is necessary to meet the requirements of the Company’s upcoming drill program, and to repair damage caused by unusually severe winter and spring weather conditions. Many access points to the property were eroded due to unusually heavy rain and snowfall earlier in the year. The Company initially delayed upgrade work earlier in the year as a result of wet weather and run off from the snow pack. With these run offs now dissipated, upgrade work and pad preparation can be completed in a timely and cost-effective manner.

These critical upgrades will provide drill crews with complete access to the high priority drill sites and also provide for unrestricted access to the water delivery points within the property. Once upgrade work is completed, the drill phase of the work program can commence. 

In the fall of 2014, the Company employed Vital GeoSURVEYS Ltd to perform a geophysical survey utilizing a leading-edge element detection technology. Prior to the survey on Walker Ridge, the technology had been used in the past four years exclusively in the oil and gas sector accumulating a track record of success. The proprietary nature of the innovative technology allows for the in situ detection and the mapping of signals specific to the targeted element. In the case of Walker Ridge, the targeted element is gold (Au). In application, the technology deploys energy and if the target element is present a signature response is detected. The strength of these signature responses is measured and catalogued as “Points of Interest”.

The fall 2014 survey identified 38 Points of Interest occurring in eight clusters over approximately a two-square mile area within the Company’s claim block. Seven of the clusters are coincidental to data sets identified through the Company’s previous work programs on the property: anomalous mercury and antimony geochemical levels, a prominent gravity geophysical low coincident to the surface mercury anomaly, and an electromagnetic/magnetotelluric resistivity low/high. All clusters are radially arranged around an Eocene “Carlin-Age” intrusive discovered on the property and confirmed through uranium-lead radiometric age dating. The results of the survey, particularly when applied to the existing data sets, potentially reduces the risks and costs normally associated exploration drilling programs.

CDN Jade Mine Resources Inc. Announces the Final Stage of Its Spin Out With 0941092 B.C. Ltd. and Completion of the Amalgamation Between Acqua Export Acquisition Corp. and CDN Water Corp.

(“CJMR” or the “Company”),is pleased to provide an update with respect to the completion of the previously announced plan of arrangement between 0941092 B.C. Ltd (“092BC”) and Acqua Export Acquistion Corp (the “Arrangement”) (please see 092BC’s news release dated May 30, 2014). The Arrangement has been completed and, effective as of June 3, 2015, a statutory amalgamation (the “Amalgamation”) between the spun out company, Acqua Export Acquisition Corp., and CDN Water Corp. was also completed. Upon completion of the Amalgamation, the amalgamated company adopted the name CDN Jade Mine Resources Inc.

Plan of Arrangement with 092BC

On February 24, 2015, 092BC filed a Notice of Change in Corporate Structure advising that the 092BC shareholders and the British Columbia Supreme Court had each approved the previously announced Arrangement and that both the effective date of the Arrangement and the share distribution record date had been set at January 22, 2015 (the “Share Distribution Record Date”). Pursuant to the terms of the Arrangement, each shareholder of 092BC (each an “092BC Shareholder” and collectively the “092BC Shareholders”) as of the Share Distribution Record Date was entitled to receive its pro-rata share of the common shares in Acqua Export Acquisition Corp. Therefore, on completion of the Arrangement, each 092BC Shareholder still held his or her original number of 092BC shares (each a “092 BC Share” and collectively, the “092BC Shares”) and his or her pro-rata allotment of shares in the equity of Acqua Export Acquisition Corp. for each 092BC Share held prior to the effective date of the Arrangement. Also as part of the Arrangement, Acqua Export Acquisition Corp. received the letter of intent with CDN Water Corp.

Amalgamation between Acqua Export Acquisition Corp. and CDN Water Corp.

Effective June 3, 2015, Acqua Export Acquisition Corp. amalgamated with CDN Water Corp. (“CWC”) to form CDN Jade Mine Resources Inc. Under the terms of the Amalgamation, each 092BC Shareholder of record as of the Share Distribution Record Date received one (1) common share in the equity of CJMR for each four (4) 092BC Shares held and each holder of CWC shares (each, a “CWC Shareholder,” collectively the “CWC Shareholders”) received one share in CJMR for each share of CWC held at the time of the Amalgamation. CJMR distributed a total of 11,911,643 CJMR shares pursuant to the Amalgamation (the “CJMR Shares”). The CJMR Shares were delivered to the CJMR shareholders as of June 16, 2015 thereby fulfilling the 092BC Shareholders entitlement to shares of the spinoff company Acqua Export Acquisition Corp.

No action is required on the part of the 092BC Shareholders or the CWC Shareholders; those shareholders entitled to receive the CJMR Shares will receive their shares in one of two ways: 1) either directly by mail of a certificate or direct registration statement evidencing their CJMR Shares to the mailing address currently on file with 092BC or CWC or 2) the CJMR Shares will be credited directly to their brokerage accounts. While the Company does not anticipate that shareholders receiving the CJMR Shares will experience any experience any capital gain, shareholders are advised to seek independent professional advice in order to determine the amount of taxable income to be included in their income tax returns.

CDN Jade Mine Resources Year End

Based on the exchange of CWC shares for CJMR shares, CWC is considered the acquirer for accounting purposes (commonly referred to as a “reverse takeover”) and the amalgamated company would generally adopt the year end of the reverse takeover acquirer, which in this case would have been February 28. However, due to the seasonal nature of the nephrite jade mining industry in British Columbia, the newly amalgamated company, CJMR, has chosen to adopt June 30 as its year end to better align its fiscal year with the Company’s operations.

British Royal Visitor Calls In To House of Raja’s Store

July 16, 2015 – – House of Raja’s on Fletcher Street has been a stable landmark in Bolton, Lancashire for many decades now. One Of FSM’s Best Viola Lessons Students Gets Accepted To Frisco Youth Symphony Orchestra

July 16, 2015 – – The Frisco School of Music, in Frisco, TX is proud to announce that their student, 13 year old 8th grader Bram Schalken, has been accepted as a violist into the Frisco Youth Symphony Orchestra. Bram has been a student with the Frisco School of Music (FSM) since 2013, as can be seen on http://www.friscoschoolofmusic.com/july-2015-music-classes-frisco-texas,-tx.htm, and he has always shown fantastic talent in his mastering of the viola. FSM wishes him all the best in this exciting new venture.

“Bram has been an exceptional student at our school. His positive attitude and dedication really shows in his great performances and it is not at all surprising that he has been accepted into the Frisco Youth Symphony Orchestra,” says Chris Ducan, Director of the Frisco School of Music.

This fall, the symphony will include middle school musicians like Bram in its ranks for the first time ever. Additionally, they will be accepting high school musicians as well. Bram worked tirelessly with his FSM teacher for two months in order to prepare for the audition. He had to complete an etude, a solo piece (Bourree by Handel) and as many scales as he could play in just 3 minutes, as well as a chromatic scale.

“The etude was the hardest part of the audition because of the shifting that was required, and that was the first time I had ever done an etude,” Bram said. “Ms. Sabrina is a great teacher. She’s helped me get a better quality sound out of my playing.”

Bram also participated in the FSM Achievement Graduations this year. The FSM recommends all private students take part in the Achievement Graduation Program. This means that they prepare and perform for a judge a solo performance at their grade level that is teacher approved and includes technique and a number of repertoire selections. During the school year, FSM teachers plan and prepare their students to be ready for the judging date. All selections are performed by memory. Students perform in front of a judge and are then graded on a standard of musical excellence. They receive a medal and certificate that includes the comments and then ‘graduate’ to the next level of study. The experience is both exciting and rewarding and motives students to work towards their next level. Family is invited to hear the Graduation, where many musical styles and genres are represented. FSM has open enrollment and is now accepting new students.
