The shareholder making the requisition, namely Kingsway Financial Services Inc., claims that it owns approximately 13.24% of the outstanding common shares of the Company.

The Board is reviewing and considering the requisition with its professional advisors. It will respond appropriately in due course as provided under applicable law, at which time further disclosure will be forthcoming. In the meantime, there is no need for shareholders of the Company to take any action.

Kobex has retained Stikeman Elliott LLP as its legal advisors in connection with the requisition and related matters.

The REB is responsible for reviewing the anti-cancer technology and assessing it from a clinical viewpoint. The anti-cancer technology consists of the Company’s lead Photo Dynamic Compound (“PDC“), TLD-1433, which is light activated by the proprietary Theralase TLC-3200 Oncology Laser System for the treatment of Non-Muscle Invasive Bladder Cancer (“NMIBC“). The REB, pending review, will authorize the UHN clinical team to commence enrolling patients, inflicted with NMIBC, into a Phase Ib clinical trial to study the effects of the technology as determined by the primary outcome measures of safety and tolerability, and as an exploratory endpoint, efficacy.

Pending approval of the following applications, UHN will commence enrolling patients:

1. Health Canada Clinical Trial Application (“CTA“) (Submission Complete);
2. Health Canada Investigational Testing Authorization (“ITA“) (Submission Complete);
3. UHN REB (Submission Complete).

Spherix announced that Verizon and Spherix jointly filed a motion with the Patent Trial and Appeal Board (“PTAB”) to terminate the Inter Partes Review (“IPR”) procedure filed by Verizon. The joint motion was filed on September 10, 2015 and the PTAB dismissed Verizon’s petition on September 14, 2014. The parties also filed dismissals of Verizon from Spherix’s litigations in the United States District Court for the Eastern District of Virginia, and the court has dismissed Verizon from the cases.

Spherix also announced that a temporary stay has been granted in the Company’s litigation against Uniden America Corporation. As previously announced, on March 3, 2015, the PTAB entered decisions instituting, on narrowly limited grounds, IPR proceedings regarding a portion of the claims for two Spherix patents that are being asserted in litigation against Uniden. The IPR hearing is scheduled for September 28, 2015. Based on the schedule and recent timelines from the Patent Trial and Appeal Board, Spherix management anticipates a decision by the end of 2015. As such, the parties requested and have been granted a temporary stay of the litigation in district court in order to obtain a clear definition of the scope of issues before proceeding further.
