On April 8, 2015, Mylan offered to purchase Perrigo for $205 per share, representing a nearly 30% premium to the Company’s total market capitalization. Mylan’s approach was well received by investors, and the price of Perrigo stock increased to as high as $215 per share in intraday trading on April 8.

On April 21, 2015, Perrigo publicly rejected Mylan’s offer and told investors that the offer substantially undervalued Perrigo and its growth prospects, and that the offer did not take into account the full benefits of the Company’s acquisition of Omega Pharma N.V. (“Omega”). Over the next six months, Perrigo continued to engage in a public campaign to reject Mylan’s proposal, despite having subsequently raised its offer to approximately $235 per share.

On November 13, 2015, a majority of Perrigo’s shareholders declined to tender their shares, defeating Mylar’s tender offer. On the news the tender offer failed, Perrigo shares fell 6%.

On February 18, 2016, Perrigo reported lower than expected fourth quarter 2015, revenue, margins, earnings, and cash flow and decreased earnings guidance for 2016. The Company also announced that it would need to take a $185 million impairment charge related to Omega’s assets. On this news Perrigo shares fell $14.77 per share.

On April 25, 2016, Perrigo announced the resignation of its Chief Executive Officer, lowered its 2016 earnings guidance, and reporter weak preliminary first quarter 2016 results. The Company attributed its poor financial performance, in part, to issues with the Omega acquisition. On this news Perrigo shares fell $21.95 per share.

On May 12, 2016, Perrigo announced a first quarter net loss of $0.93 per share which the Company largely attributed to an additional $467 million impairment charge relating to the Omega acquisition. On this news Perrigo shares fell $3.71 per share.

With this acquisition, Fortiline now has 42 distribution branches in 12 states.

Since 1982, Atlantic Supply has served as the customer’s single source for pipe, valves, fittings, tools and equipment for underground water, sewer and storm water systems. American Vanadium Announces Update on Letter of Intent

VANCOUVER, BC / ACCESSWIRE / May 24, 2016 / AMERICAN VANADIUM CORP. (TSXV: AVC) (OTC: AVCVF) (“American Vanadium” or the “Company”) reports that, further to its press release of January 11, 2016, the Letter of Intent to acquire DMG MORI’s wholly owned subsidiary, GILDEMEISTER energy storage GmbH (“GES”), manufacturer of the CellCube vanadium flow energy storage system, has expired. Due to market conditions, the Company was unable to secure the necessary financing to fund the acquisition of GES pursuant to the terms of the Letter of Intent. American Vanadium will continue to be the North American sales agent for the CellCube.

Corporate Update

The development of the grid level energy storage market has not met the expectations of industry and Company forecasts and, as a consequence, the Company does not believe the Gibellini vanadium deposit will have strategic value as a supply of vanadium electrolyte for an extended period of time. As a result, the Company has decided to discontinue developing and permitting the Gibellini property and one of the main Gibellini leases has reverted back to the owner. Therefore, unless the Company is able to negotiate reasonable terms to re-acquire this lease, the Company may relinquish other leases which require annual payments by December 31, 2016 and claims which expire August 31, 2016 in the area.

The Company has a significant working capital deficiency, and it needs to reorganize and streamline its activities. Further equity financing and settlement of its accounts payables are required to sustain its operations.

The Company applied for a resumption to trading with the TSX Venture Exchange (the “Exchange”) and advised the Exchange that it is not meeting the requirements for a Tier 1 issuer. The Exchange has advised that soon after the dissemination of this news release that it would be issuing a bulletin resuming the trading of the securities of the Company as a Tier 2 issuer.

At the request of the TSX Venture Exchange, the Company also announces that it is suspending its rolling stock option plan (the “Plan”) however, the current outstanding options will continue to be governed by the Plan.

Florida Woman Files Lawsuit After Suffering Injuries From E-Cig Explosion

May 24, 2016 – – LipsigLawyers.com reports on an incident in which a woman was seriously injured by an e-cigarette explosion while she was sitting in her car. According to reports from NBC6, the Florida woman had parked her car outside a friend’s house in February to use her e-cigarette and charge her car. When she pressed the button on the device it exploded, flying out of her hand, knocking out her teeth, and catching her rental car on fire.

These cases are not entirely uncommon. Another case in which an e-cigarette exploded in a car causing injury was reported in New York in April 2016. The woman had been parking her car when her device exploded inside her jeans pocket, tearing through her jeans and ripping the skin off her knee. A piece of the device also became lodged in the dashboard of the car. She was taken to the hospital where she was treated for second and third-degree burns. She now walks with a cane, according to media reports.

According to FEMA, 25 incidents involving e-cigarette explosions were reported by mainstream media between 2009 and 2014. Of the incidents reported, 80 percent occurred while the devices were charging. When the batteries explode, they often shoot out pieces very quickly which, in some cases, have caused serious traumatic injuries. It has also been reported that the devices have sometimes caused fires that have spread and left users with serious burns. In several cases, users have opted to sue the battery manufacturers or the shops that sold the e-cigarettes.

The construction worker’s fall occurred when he had lost his balance on a ladder and fell four stories into an elevator shaft, according to a report by The New York Times. The 55-year-old man had been preparing to hang drywall on West 17th Street when he fell. He was impaled through the arm, leg, and torso by three metal bars. The bars had to be cut so that he could be taken to the hospital where he was listed in critical condition.

This is hardly a singular incident according to The Bureau of Labor Statistics. Reports indicate that New York saw 86 fatal injuries in 2014 related to construction and maintenance occupations. Twenty-four of those incidents involved contact with objects and equipment and 28 were because of falls, slips, and trips. Construction incidents, including both fatal and non-fatal, steadily rose in 2015, increasing by about roughly 40 percent, according to the New York Department of Buildings. New York City saw 323 total accidents in 2015 compared with 231 in 2014.

Addison Dental Clinic Donates over $10,000 in Free Dental Care Services

May 24, 2016 – – On Tuesday, May 17th, 1st Family Dental, a dental practice with 11 Chicagoland locations, gave back to the local community with a Free Dental Clinic Day at it’s Addison Dental Clinic, located at 120 E. Lake St. Addison, IL 60101.

The Addison dentist office, which just opened in March 2016, provided free dental services to more than 40 local patients throughout the day. Dental services were provided free of charge, including cleanings, fillings, x-rays, and extractions.

According to Dr. Ghassan Abboud, the president and founder of 1st Family Dental, “Free dental services were provided to patients ages 3 and above on a first come, first served basis. In total, 1st Family Dental of Addison donated over 40 hours and more than $10,000 in free dental services.”
