Acquisition Of Four Lithium Projects In The Preissac-Lacorne Complex Of The Abitibi Greenstone Belt, Quebec

(“Alix” or the “Company”) (TSX.V: AIX) (FRANKFURT: 37N.F) is pleased to announce the acquisition of a portfolio of lithium properties in the Preissac-Lacorne plutonic complex of the Abitibi Greenstone Belt, province of Quebec, from arms-length vendors. The Preissac-Lacorne Lithium Portfolio consists of claim groups situated within the La Motte, La Corne, Preissac, Figuery and Landrienne townships. The four properties, containing numerous showings mineralized in Li (spodumene) ±Ta (tantalite) ±Be (beryl), have been investigated sporadically by junior mining companies with various geophysical, geochemical and geological tools from the early 1950’s until the present day.

The acquisition is composed of 145 claims covering 6,292 ha and contains numerous lithium spodumene-bearing granitic pegmatite occurrences, showings and prospects of historic significance, explored by leading lithium exploration companies during the early lithium boom of the 1950-1960’s such as; American Lithium Corporation, International Lithium Mining Corp., Duval Lithium, QLC (formerly Lithium Exploration Company Limited), and Quebec Lithium.
The core of the claim group is located 40 km northeast of the mining town of Val d’Or. The recorded mineral claims extend 30 km east-west by 15 km north-south. The properties are accessible by a network of paved roads connecting to the main 117 Highway linking Val d’Or to Rouyn-Noranda. The region holds several precious and base metals mines and possesses all the infrastructures and workforce necessary to support a mining operation.

China Auto Logistics Sells Zhonghe for Approximately $62.3 Million; Sees Net Proceeds of Approximately $25.8 Million After Transfer to Purchaser of Outstanding $36.5 Million Zhonghe Related Payable

TIANJIN, CHINA / ACCESSWIRE / June 7, 2016 / China Auto Logistics Inc. (the “Company” or “CALI”) (NASDAQ: CALI), a top seller in China of luxury imported automobiles and a leading provider of auto-related services, announced today that effective June 1, 2016, 100% of the equity in its Zhonghe subsidiary — the owner and operator of the Airport International Auto Mall in Tianjin and 40% owner of Tianjin Car King — has been sold to Wuxi Huitong Automobile Sales and Service Co., Ltd. (Huitong) for approximately $62.3 million. Approximately $25.8 million of this amount is payable in cash to Shisheng. The remaining amount of approximately $36.5 million is being paid for by Huitong assuming Shisheng’s payment obligation to Zhonghe’s former owner.

As described in the pro-forma financial statements included in the 8-K filed by the Company this morning with the U.S. Securities and Exchange Commission, the net proceeds to CALI, assuming completion of the equity and debt transfers on March 31, 2016, are approximately $21 million (net of approximately $5 million to repay an amount due to Zhonghe), resulting in an approximately $5.6 million increase in CALI’s total equity and positive working capital.

Commenting on the transaction, Mr. Tong Shiping, Chairman and CEO of the Company, stated, “The timing of our acquisition of the Airport International Auto Mall ahead of the unforeseen persisting downturn in China’s economy saddled us with significant costs and losses. Becoming unburdened by these costs opens the door to profitable growth once again going forward.”

Mr. Tong noted that interest expense in 2015 related to the outstanding Zhonghe acquisition payable was approximately $2.7 million, with a related tax effect of about $523,000. Additionally, depreciation expense relating to the Airport International Auto Mall was approximately $2.2 million in 2015.

“We can now see the interest expense relating to the Zhonghe payable disappearing, as well as significantly lower depreciation expense,” Mr. Tong said. “Of course,” he added, “we will be losing in the period ahead any possible contributions to our operating results from the used car joint venture, whose market is still far from mature, as well as some auto sales tied to Zhonghe. However, we anticipate reducing our operating loss and perhaps generating an operating profit. Moreover, with our improved working capital position, the way will be clear for us to pursue future growth more aggressively. We see this mainly coming from a national expansion of our imported luxury auto business beyond the port of Tianjin, combined with expansion of our higher margin financing services as well as other possible auto related services further down the road.”

This knowledge inspired her to start the Creative Arts Scholarship, which will help support one student every year, who is just as passionate about giving back and would like to also pursue a creative career.

“I’ve always had a deep appreciation for creativity and more specifically, fashion. Giving back and mentoring is something I’m passionate about and would like to extend to a high school senior who is passionate about studying fashion, or anything creative, in college,” Dorko said, adding that she also knows that the costs of college have really increased over time.

“Every little bit helps so I’m hoping my contribution will help both students and their families with easing the costs of higher education.”

To qualify for the Creative Arts Scholarship, Dorko said applicants must be high school students who reside in the United States and who have maintained a B-plus average or higher. They must also be actively involved in their community and have completed volunteer work. Applicants must also intend to earn or already be pursuing a degree in a creative field.

All applications are due before December 15, 2016. At that time, Irina Dorko and her team of judges will carefully review the applications before choosing one student to receive the $1,000.
