When asked for a comment, she said, “Everyone – from small business to big enterprises – has been affected by the COVID-19 health crisis. With this, there will be an influx of civil litigation in a court system that’s already experiencing a backlog of cases coming out of the pandemic. Here are some key points to prepare for a potential lawsuit.”

According to Middleton, one important thing to bear in mind is to ensure that a written contract is in place, as verbal agreements fail to provide adequate protection.

“Many companies – even though they’re dealing in large sums of money – do not have written contracts. If a business, such as a medical supplier, cannot deliver their products as fast as demand during this pandemic, they could find themselves in a civil lawsuit due to a breach of contract. Having a written contract is a way to defend yourself.”

Middleton was quick to note that merely having a written contract is not enough. The contract itself should include specific provisions such as force majeure, which acts as a pardon for companies that cannot perform under a contract due to a natural disaster such as a pandemic.

“Even if you have a force majeure in your contract, it needs to be very specific to include what kind of event is covered. Otherwise, this type of ambiguity will lead to yet more litigation. The more you think about it ahead of time and the more specific the provisions, the better off you’ll be. Getting an attorney’s help is also beneficial because drafting these contracts can become quite complicated,” she said.

To be able to provide enough evidence during a civil litigation lawsuit, it’s also crucial to keep all documentation of transactions.

“As a general rule, the statute of limitations on lawsuits is two years, which means that someone could sue you up to that time. For instance, you must be able to show damages that you were harmed by the defendant’s actions.”

When asked what type of documentation to hold onto, she said, “Let’s say that you have a business, and your insurance company denies your benefits. You’ll want to be able to show how you lost money by providing rent bills or evidence that you lost customers. That’s why keeping documentation on file and having it organized and in writing is so important for people.”
