CardioComm Solutions Provides Update Respecting Financial Statements

TORONTO, ONTARIO / ACCESSWIRE / May 31, 2020 / CardioComm Solutions, Inc. (TSXV:EKG) ("CardioComm" or the "Company"), a global medical provider of consumer heart monitoring and medical electrocardiogram ("ECG") software solutions, provides an update respecting its reliance on the coordinated relief provided by securities regulators, which consists of a 45-day extension for certain periodic filings required on or before June 1, 2020, pursuant to Ontario Instrument 51-502 Temporary Exemption from Certain Corporate Finance Requirements and similar exemptions in other provinces (collectively, the "Blanket Relief") (see CardioComm's press release dated April 30, 2020). As previously announced, CardioComm is relying on the Blanket Relief with respect to the requirement to file:

within 120 days of the Company's financial year end, audited financial statements, management's discussion and analysis, and certifications for the year ended December 31, 2019; and
within 60 days of the Company's financial quarter, interim financial statements, management's discussion and analysis, and certifications for the quarter ended March 31, 2020.

CardioComm and its auditors continue to work diligently and expeditiously to file the Company's annual documents for the year ended December 31, 2019, and the quarterly documents for the quarter ended March 31, 2020. CardioComm currently expects such documents to be filed on or about June 12, 2020, and June 19, 2020, respectively.

CardioComm confirms that the delays are directly related to COVID-19 impact on auditor resources and that there have been no material developments, other than those disclosed through news releases, since the filing of its interim consolidated financial statements for the period ended September 30, 2019.

CardioComm advises that, in accordance with the requirements of the Blanket Relief, management and other insiders of CardioComm are subject to a trading blackout that reflects the principles in Section 9 of National Policy 11-207 Failure to-File Cease Trade Orders and Revocations in Multiple Jurisdictions until its filings are up to date.

When asked to comment, Paulding said, “Consenting to a police search can be detrimental to your case before you even step foot inside a courtroom. This is true even if you are innocent and have nothing to hide.”

What much of the American public is unaware of, according to Paulding, is that saying “no” to a police search is a fundamental right.

“The 4th amendment of the US Constitution protects citizens against unreasonable searches and seizures. Law enforcement must first obtain permission to search either you or your property – unless they have probable cause that a crime has been committed,” he said.

In fact, she said, refusing a police search often works in someone’s favor in court.

“Let’s say that the police wanted to search you, but they didn’t have probable cause. You didn’t provide consent, but law enforcement searched you anyway. This will give your lawyer the upper hand in court, because the officers in charge will have to prove there was probable cause to carry out a search without a warrant,” she added.

Saying “no” to a police search can also, at times, prevent a search altogether.

When asked to explain, Paulding said, “Many people assume that if an officer asks for a search, they will do it no matter what you say. However, if you don’t allow the police to search, and they have no other reason to conduct the search, the encounter should end. Continuing to search you, without your consent or probable cause, will likely not hold up in Court.”

On the other hand, the police will be allowed to produce evidence that could wreak havoc in cases where the client consented to the search.

“Even if you’re positive that you have nothing to hide in your car or home, there’s a chance that an illegal substance could have entered your property without your knowledge. For instance, a friend that you gave a lift could have been carrying a baggie that fell out in the backseat of your car.”

“But even if the police do find something on your property and you didn’t consent to a search, then your lawyer could still challenge whatever evidence law enforcement claims to have against you,” Paulding added.

When asked to comment, Keenan alluded to the fact that bankruptcy has a negative connotation, and many feel shame and guilt in taking the first step to file.

“More often than not, I find that when someone comes to my office, they feel like a failure and that they’ve given up or are lost. And they get caught up in the stress of their situation, which is a natural human emotion,” he said.

These negative emotions felt by many often stem from a sense of guilt of not being able to pay debt back. However, according to Keenan, the circumstances that caused financial hardship for many are not within their control.

“People find themselves in a scenario in which life just happens – job loss, medical bills, helping a family member. Ultimately when I sit down with people, I help them objectively see how they got to where they are. It wasn’t a matter of being dishonest or because they are a bad person,” he added.

“People need to forgive themselves for things they haven’t done or for feelings of being a failure – that’s simply not the case as life happens.”

Furthermore, many put filing for bankruptcy on the backburner, according to Keenan, due to feelings of shame.

When asked to elaborate, he said, “This is an interesting topic, because bankruptcy can be a private matter. It’s not something that you need to go and share with your family or friends, because other people aren’t living your life. They’re not in your home, they’re not paying your bills, they don’t know what brought you here. By putting off filing for bankruptcy, you’re empowering people who really don’t have any power in your life.”

Keenan further alluded to the fact that one of the most important hurdles that anyone in debt needs to clear is addressing the state of their financial hardship. And often times, it’s easier to speak about financial difficulties and debt with a neutral third-party.

“I find that it’s best to speak with someone who is not emotionally involved in the situation. So when they sit down with me, I objectively go through their situation with them and reassure them that they shouldn’t be ashamed. I want them to be able to tell me what’s wrong – or to confess, so to speak – and put that behind them so they can move forward. Just remember that the goal of bankruptcy is to give you a fresh start,” he said.
