MGX Minerals Announces Manufacturing Underway of Zinc-Air Battery Components

VANCOUVER, BC / ACCESSWIRE / June 28, 2018 / MGX Minerals Inc. (“MGX” or the “Company”) (CSE: XMG / OTCQB: MGXMF / FSE: 1MG) is pleased to announce that its wholly-owned subsidiary ZincNyx Energy Solutions, Inc. (“ZincNyx”) has completed the design for manufacturing of its core regenerator and fuel cell modules.

Since both modules are constructed from a number of identical cells, they constitute ideal candidates for manufacture by volume production methods such as injection molding, die casting and extrusion. These methods require stringent design rules to be followed to ensure efficient and reliable parts production. ZincNyx has now completed this process for the highest volume parts with the active participation of its chosen suppliers. ZincNyx expects to start receiving parts based on these designs within the next 4 to 6 weeks.

“This advance demonstrates that the ZincNyx system can be manufactured using conventional production processes,” said ZincNyx President and CEO Suresh Singh. “The design can be transferred to almost any location world-wide without the need to build expensive custom factories.”

The regenerator and fuel cell parts form the nucleus of ZincNyx’s next generation system which will provide four times the capacity of earlier models. The expanded range of this system addresses the need for long duration energy storage when coupled with renewable energy sources such as wind and solar. The system may be housed in a shipping container for deployment at remote locations or may be installed in free-standing racks in a warehouse-type environment.

Is it Ever a Crime to Search for Information Online?

Under Certain Circumstances, it is Definitely Possible For an Internet Search to Constitute a Criminal Charge

Whether you go online for work, school, or just to connect with friends and loved ones, there’s a good chance you conduct several searches each day. In fact, Google processes more than 40,000 search queries every second of every day.

The internet has also changed just about every aspect of how we function in life. Instead of looking at a map, for example, it’s easy to simply go online and get directions and drive times for your next road trip. Want to find out when a movie is showing in your local theater? The information is literally at your fingertips. In fact, most people use the internet now without even thinking about it. With the internet, you can order anything from products, services, even groceries and have it delivered right to your door.

Just as the internet has changed the way people live and work, it has also given rise to new types of crime. This prompts some people to ask whether it’s ever a crime to simply run an internet search. Can the police arrest you for looking up information online?

Under certain circumstances, it is definitely possible for an internet search to constitute a criminal charge.

Internet Crimes in Federal Court

While internet crimes cases can end up in state court, it’s more common for these types of cases to be tried in federal court. One reason why internet crimes typically end up in the federal system is that federal law enforcement agencies generally have more resources to investigate these types of crimes.

Another reason why internet crime cases are generally prosecuted in the federal system is that courts have ruled that someone using the internet to engage in criminal activity in other states qualifies as interstate commerce, which gives the federal government jurisdiction in the case.

Every case is different, and different facts can give rise to unique situations. While it’s impossible to list every scenario in which an internet search could land someone in legal trouble, there are a few specific situations that are either always crimes or most likely criminal acts.

Viewing child pornography – If you search for pornographic images of children online, you could be charged with a federal crime. You don’t even have to download the images to be charged, as it’s possible that your computer stores images you view in its “cache” without you realizing it. Prosecutors can make a case that this cache of materials means you possess these images.

It’s important to note that just about everyone has run an internet search that has turned up images they didn’t intend to see and don’t want to see. Accidental searches like this are not considered crimes. However, intentionally searching for sexual content involving underage individuals is illegal and could result in criminal charges.

Downloading copyrighted material – Downloading copyright-protected movies and music is a crime that can result in steep fines and a permanent criminal record. While simply searching for illegal torrents is not necessarily a crime, it could trigger law enforcement scrutiny if you regularly browse and frequent illegal streaming and torrent sites. It’s also worth noting that torrent sites are not inherently illegal. However, it is a crime if torrent sites are posting material that is protected by copyright.
Questionable internet searches – If you have to research murder, kidnapping, or another serious crime for a school paper or work project, you might have wondered if the nature of your searches somehow tips off police that you’re interested in illegal activities. Or maybe you just enjoy reading true crime books or detective novels and often search for new material to enjoy. Should you be worried that your browser history makes you look like a criminal?

Searches for basic information – especially searches motivated by legitimate research – are perfectly legal. However, there have been cases in which a person’s searches raised serious alarms about their mental state and capacity to commit a crime. Perhaps most infamously, a former New York City Police Department officer was arrested and prosecuted in 2013 after his wife discovered numerous internet searches and chat room discussions about kidnapping, torturing, and cannibalizing women.

The case drew intense scrutiny, as prosecutors could find no evidence that the ex-officer had actually acted upon any of his fantasies. However, the nature, volume, and detail of his imagined crimes were so horrific it prompted prosecutors to charge him with conspiracy to commit kidnapping. According to the ex-cop, his fantasies were motivated by a sexual fetish that he never intended to act on. The officer was acquitted in 2015 but spent two years in prison while awaiting trial.

What Are RICO Statutes, and How Do They Apply to Federal Crimes in Dallas?

Types of Federal Crimes

Before analyzing what role RICO plays in federal criminal prosecution, it’s first important to understand some of the different types of federal crimes.

Title 18 of the U.S. Criminal Code categorizes the following types of crimes as falling under federal jurisdiction, although this is by no means a complete list: (1)

Aircraft – Destroying a commercial plane or operating an aircraft while under the influence
Animals – Unlawful removal, transportation, harm, or destruction of an animal, or smuggling an animal
Arson – Intentionally setting fire to a property, which can also include killing someone in or on that property
Bankruptcy – Any type of fraud related to filing bankruptcy for the express purpose of not paying a debt
Conspiracy – Any plan between two or more people to commit a criminal act, even if that act never takes place
Drug Trafficking – Possession of illegal drugs with the intent to distribute or sell those drugs
Firearm Violations – Illegal possession of weapons that must be registered and licensed
Forgery – Illegal copying of printed material or art with the intent to deceive someone into believing the material or artwork is real
Fraud – Any intentional act to deceive another person for the purpose of financial gain, including health care fraud, insurance fraud, wire fraud, credit card fraud, and securities fraud
Kidnapping – Illegal abduction of another person, or refusal to allow another person to leave a contained area
Racketeering – The operation of an organized criminal enterprise that profits from illegal activities through force, intimidation, and violence

The serious crime of racketeering is at the heart of any person or organization accused of a RICO violation.

What Are RICO Charges?

The federal law that made RICO charges possible was passed in 1970, and its main purpose was to destroy organized crime in the U.S.

The law makes it illegal for anyone to be involved in or associated with any enterprise that engages in a pattern of racketeering activity or collection of unlawful debt. (2)

To obtain a conviction, federal prosecutors must prove:

The enterprise exists or existed
The enterprise affected interstate commerce
The accused was involved with or employed by the enterprise
The accused was involved in racketeering activity
The accused was involved in at least two racketeering acts
The acts are continuous and criminal
The acts are a standard way of doing business

The RICO Act defines an enterprise as an individual, partnership, corporation, or organization, which means RICO charges can be filed against one person, several people, or an entire group.

The U.S. government has used the RICO act to go after organized crime groups and violent gangs, and because RICO charges carry higher sentences than most other federal crimes, the government is able to weaken these groups by putting their leaders behind bars.

However, it is important to understand that the RICO statute does not just apply to mobsters. The fact that you are not involved in the mafia or a criminal street gang does not mean the RICO statute will not apply.

RICO Defenses

There are several RICO defenses that attorneys can use to help clients charged with these federal crimes, but the most common is to challenge the assertion that the defendant was engaged in a pattern of criminal activity.

The burden of proof is high in a RICO case, and the prosecution must present evidence proving that the defendant knowingly and repeatedly engaged in the criminal activity.

For example, if the defendant committed only one criminal act that would not rise to the standards necessary for conviction under RICO.

In addition, defense lawyers can argue that a client did work for the enterprise, but was unaware that criminal activities were taking place.

This defense requires presenting evidence that the defendant did not have access to certain levels of the organization, which would create sufficient reasonable doubt in the mind of a jury.

An attorney with experience dealing with the RICO statute will always analyze the indictment to see whether arguments can be made that the alleged conduct does not meet all of the technical requirements of the RICO law.

You Can Expect to Have Fairly Intense Cravings for Your Drug of Choice as You Get Started in Your Recovery Process

UNION, NJ / ACCESSWIRE / June 28, 2018 / If you’ve ever suffered from any kind of addiction, then you know what it is like to have cravings. It’s an overwhelming feeling of need that feels like it can only be satisfied by going back to your addiction. If you do go back, you’ve relapsed. Becoming aware of cravings and learning how to manage them is one of the biggest elements in relapse prevention.

Having cravings in recovery is normal. You can expect to have fairly intense cravings for your drug of choice as you get started in your recovery process. Up until the point when you stop using, drugs or alcohol are your way of coping with anxiety, stress, and all of life’s demands. It’s only natural that you will feel the need to have a coping mechanism when you get clean. However, in order to avoid relapse, you have to learn how to deal with cravings without going back to using. The goal isn’t to eliminate the cravings, instead, it is to recognize when the craving cycle begins and intervene before you pick up drugs or alcohol to cope.

The Craving Cycle

The types of cravings and how intense they are depends on the person, but there are some common patterns that most people in recovery share. Typically, the craving cycle progresses in this manner:

Trigger response- Something – a thought, person, event or thing – triggers an emotion or thought that makes you want to cope in your old addictive way. It could be a sound, smell, music that you listened to while using, or something as simple as driving by a bar you used to frequent. This sets the cycle in motion.

Obsessive thinking- Once you have become in touch with your old pattern of addictive behavior, your thoughts will lock onto the familiar habits. It becomes exceedingly difficult to get away from those thoughts. You may start to rationalize using again in your head, or start weighing the pros and cons. The more you consider it, the stronger the urge to use becomes.

Intense craving- This is when the full-blown craving feeling occurs. It’s often both emotional and physical. You feel a compulsive need to use or drink and can’t think of anything else. In a physical sense, you may start feeling a stress response like a pounding heart, sweating, and shortness of breath. When you get to this point, the pull toward using is extremely strong and it’s very hard to resist using.

Though the craving cycle can be very powerful, it isn’t out of your control. While you can’t always control a craving from happening, you do have the power to not act on it. The important thing to learn is that you need to identify when you are in the trigger phase of the craving cycle. Once you learn to do that, you will be able to avoid progression in the cycle and prevent relapse. When you successfully intervene on cravings, you will feel more in control, and you will continue to grow and heal in your recovery.

Ways to Resist Cravings

The following are five suggestions that may help you resist cravings and avoid relapse:

Use healthy distractions- Distraction can be a negative coping mechanism when it’s used to avoid dealing with emotions or situations. However, when used right, distraction can help you redirect your attention to more positive thoughts and actions. Some healthy distractions that may help you let go of cravings are:
-Change of scenery – Go outside for a walk, jog, bike ride, or car drive. The goal of this is to get you away from whatever was in your environment that triggered you.
-Talk to someone supportive – Call a friend, family member, or sponsor who understands and supports your recovery. They will likely be able to help you feel more grounded and reassure you that you can make it in recovery.
-Do something fun – Play a video game, watch your favorite television show, read a book, or start a project you have been putting off. The key is to do something that you enjoy and that will replace your craving feelings.
Play the tape until the end- Once you are triggered, you are probably romanticizing or glamorizing using again, imaging how it will feel and how it will make things better. Now is the time to remember your last, dark days of using or drinking. Consider what the outcome of having a drink or using a drug will be, by remembering where it got you in the past. Perhaps you were arrested while using or fought with friends and family. Maybe you injured yourself or someone else. Wherever your addiction took you before, it will likely take you again – and worse. When you remember drinking or using honestly, it will help to alleviate the desire to act on it again.
Get physically active- When you exercise or do a physical activity, your brain produces natural feel-good chemicals that improve your mood, reduce stress, and ward off depression. You don’t have to work out intensely, a brisk walk, pulling weeds or other gardening, or even putting on music and dancing can help.
Meditate or pray- For some people in recovery, relaxation, meditation, or prayer work well in alleviating triggered responses. Taking deep breaths and relaxing, repeating a mantra or affirmation, or doing some gentle yoga, can calm you down and help you release the craving feelings. If you are religious, prayer can offer you the same type of comfort.
Don’t believe your first thoughts- When you are triggered, you may automatically have thoughts that arise that may seem indisputable. For example, you may run into an old drinking buddy who suggests that you go get a drink. Without even thinking about it, your mind may start rehearsing scenarios where it would be fun to hang out with that friend again. You have to tell yourself the truth about what would happen and resist the urge to fall back into old behaviors.

Cravings can be intense, and they can pop up when you least expect them, but when you have the tools to deal with them, you can intervene and continue on the path of recovery. The good news is the intensity of craving does lessen over time. While it may never go away completely for some people in recovery, it does get better. The Commemoration, which was held at UNESCO headquarters in Paris, France on 24 May, 2018, was attended by almost 1,000 distinguished guests, including UNESCO officials, ambassadors, politicians, leaders of the religious community and esteemed Buddhist clergy from over 20 countries and regions around the world. The theme this year was “Promotion of Peace and Non-Violence: Buddha’s Way of Life”. Sessions were held to promote intercultural and interfaith dialogue for sustainable peace.

As a spokesperson noted, Vesak Day is an important event in the Buddhist community. 2018 marks the 2607th anniversary of the attainment of enlightenment of Gautama Buddha. In 1999, pursuant to a decision taken at the 54th session of the UN General Assembly, the UN recognised Vesak as an international day of observance. It is now observed annually by the international community.

In keeping with the principles articulated in the constitution of UNESCO in promoting peace and security, it was suggested that a UNESCO symposium/roundtable be initiated to bring together member countries of UNESCO. This promoted an interactive dialogue to transcend barriers of faith and culture to achieve peace at a time where societies across the world face mounting pressure from changes and new challenges. The event provided an ideal platform to convey the universal principles and values taught in Buddhism.

Buddhi Athauda, Ambassador and Permanent Delegate of Sri Lanka to UNESCO, delivered the welcome speech. Representatives from Christian, Muslim, Hindu and Jewish communities were also invited to deliver messages of love and peace. They all affirmed the great contribution Buddhism has made to humanity, and emphasized the relevance and significance of Buddhist values in modern society, such as equality, non-violence and peace. These are the values shared by Buddhism and other major religions. They also highlighted the importance of education, multiculturalism, and interfaith dialogue with open-mindedness in the harmonious development of humanity.

The meditation session in the afternoon was conducted by the Most Venerable Parawahera Chandarathana Nayaka Thera, Chief Incumbent of the International Buddhist Centre. It was followed by a symposium and panel discussion attended by Buddhist scholars from Myanmar and the University of California, Berkeley, USA. The afternoon session was joined by Buddhist monastic communities of various traditions, other leaders from the religious community and peace-loving personalities.

The evening featured a vibrant stage performance of song and dance from the many cultures in attendance, including Sri Lanka, China, Germany, France, Japan, the Netherlands, and Spain. It was another highlight of the 2018 Vesak Day celebration for a full house of nearly 1,000 attendees. Combining classical and contemporary elements from each culture, the three-hour performance delivered an evening of stylish enjoyment. With the Buddhist teachings in the hearts of the participants, the event concluded on a positive note with messages of interreligious harmony and intercultural understanding espoused by UNESCO.

Differential Brands Group Inc. shares closed up a little over 500% yesterday on about 30.2 million shares traded. The stock hit a new high of $6.20 after the company, which owns brands such as Hudson, said it would be buying the North American division of Global Brands Group Holding Ltd. for $1.38 billion in an all cash transaction. The division is led by Jason Rabin. As part of the deal the company will acquire a big part of Global Brands Group’s North American licensing business that has brands like Disney, Star Wars, Calvin Klein, Under Armour, and Tommy Hilfiger. Differential Brands Chairman William stated, “On behalf of the board, I am thrilled that we were able to structure a transaction with the Fung family to acquire one of the leading branded consumer soft goods companies in North America with a world class management team led by Jason Rabin. Jason and his team plan to invest significant capital into this transaction, which will transform Differential into a large scale North American branded platform.” The transaction is expected to be completed in the third quarter.

PEDEVCO Corp. shares closed up an astonishing 659.62% on Wednesday with skyrocket volume. The stock traded roughly 20.5 million shares compared to an average trading volume of just about 136,000 shares. It was on Tuesday that the company said that it closed a strategic investment. The company said it entered into a series of transactions resulting in the satisfaction and retirement of substantially all of its existing debt, successfully erasing over $75 million in debt and replacing it with $7.7 million in three-year 8% senior note funded by a strategic investor, SK Energy LLC. According to the company, with the added transactions, it has increased its stockholders’ equity by more than $64 million. CEO of PEDEVCO, Frank Ingriselli, commented, “I personally committed to the Board and our shareholders publicly that we would use our best efforts and dedicate the Company to finding a strategic investor that would allow the Company to not only restructure its balance sheet and regain compliance with NYSE American listing standards, but that would be aligned with our strategy of accretively developing the Company’s existing assets and to also allow us to additionally focus on accretive acquisitions. Conagra Brands, Inc. shares closed down 7.27% on about 34.3 million shares traded on Wednesday. What has been running through the rumor mill has finally become a reality as Conagra announced yesterday that it will acquire Pinnacle Foods Inc. for around $8.1 billion, 10.9 billion including debt. The transaction will be paid for in cash and stock and will make Conagra number two in the frozen food industry in the U.S. following after Nestle. Combining the two companies will result in a market cap of roughly $23 billion. CEO of Conagra Brands, Sean Connolly remarked, “The acquisition of Pinnacle Foods is an exciting next step for Conagra Brands. After three years of transformative work to create a pure-play, branded food company, we are well-positioned to accelerate the next wave of change. The addition of Pinnacle Foods’ leading brands in the attractive frozen foods and snacks categories will create a tremendous opportunity for us to further leverage our proven innovation approach, brand-building capabilities, and deep customer relationships. With greater scale across leading, iconic brands, an unwavering focus on driving profitable growth, and a strong balance sheet and cash flow, we are creating a tremendous platform to drive meaningful shareholder value.” Edward Jones Analyst Brittany Weissman noted that, “M&A is a common theme we’re going to continue to see as the growth environment has slowed for many packaged goods companies.” She added, “There are benefits to M&A on the cost side of things from buying power to supply chains, by being larger. But there’s also benefits on the negotiating side with prices, merchandising and working with retailers.” Conagra also reported better than expected fourth quarter results with net sales of $2.0 billion versus the expectation of $1.9 billion.

National Beverage Corp. shares closed down 8.87% on about 1.2 million shares traded on Wednesday. The drop came on the news that Securities and Exchange Commission raised questions about some of the sales measurement of company referenced by the CEO in recent press release. SEC asked the company to explain its internal performance measures for sales, “velocity per outlet” (VPO) and “velocity per capita” (VPO). The two measurements were referenced by CEO Nick Caporella in press releases dated May 4 and 5 of 2017. In the May 4 press release, the CEO said that VPO and VPC help National Beverage create growth “never before thought possible.” On May 5, it was claimed that VPO was “flashing solid green numbers as we bring FY2017 to a close.” The company, which owns LaCroix, has declined to explain its claims of growth as requested by the SEC. It was in January that the SEC had asked the company to explain what chief executive Nick Caporella meant when he said that the company had “magnified” two proprietary sales metrics to create “growth never before thought possible.” The company’s controller Gregory Cook had written a response to the SEC that said, “This information is as secretive as the formulas of our beverages and should not be disclosed to our competition.” Cook also said, “The metrics that Mr. Caporella referenced are used to establish goals for certain customers, but are not utilized to manage the overall executional side of our business. VPO and VPC therefore are not key performance indicators that would give readers a view of the Company through the ‘eyes of management.’” In the last two days, shares have dropped over 13%.
